  • “Services” refers to any marketing, design, consultancy, or digital work provided by us.

  • “Agreement” means these Terms together with any signed proposal, statement of work, or quotation.

3. Scope of Services

We provide marketing, design, branding, and digital consultancy services as described in your approved proposal or project scope.
Each project’s deliverables, timelines, and costs will be set out in a written proposal or statement of work, which must be accepted by both parties before commencement.

We reserve the right to decline work that we believe is unethical, unlawful, or contrary to our professional standards.

4. Fees and Payment
  • All fees are outlined in your approved proposal and are quoted in GBP (£) unless otherwise stated.

  • A deposit or upfront payment may be required before work begins.

  • Remaining balances are payable within 14 or 30 days of the invoice date (as stated on your invoice).

  • Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.

  • Any third-party costs (e.g., ad spend, stock images, hosting, or printing) will be invoiced separately unless otherwise agreed.

Work may be paused if payment terms are not met.

5. Revisions and Amendments

Unless otherwise stated in your proposal, additional changes or new requests outside the agreed scope will be charged at our standard hourly rate or as a new project.

We’ll always notify you before incurring additional costs.

6. Client Responsibilities

To help us deliver high-quality work on schedule, you agree to:

  • Provide all required materials, information, and approvals in a timely manner.

  • Ensure all content you supply (logos, text, imagery, etc.) is owned by you or properly licensed.

  • Review and approve deliverables promptly.

We are not responsible for delays caused by late feedback or missing information.

7. Intellectual Property
Ownership Before Payment

All creative and intellectual property developed by The Good Marketing Co. remains our property until full payment is received.

Ownership After Payment

Once full payment is made:

  • You are granted a non-exclusive, perpetual licence to use the final approved deliverables for their intended purpose.

  • We retain the right to display the work in our portfolio, marketing materials, and case studies, unless otherwise agreed in writing.

Stock images, fonts, or third-party assets remain subject to their individual licence terms.

8. Confidentiality

Both parties agree to keep all confidential information shared during the course of the project private and not disclose it to any third party without consent, except where required by law.

9. Cancellation and Termination

Either party may terminate a project with written notice.
If the client cancels before completion:

  • All completed work to date will be invoiced.

  • Deposits or retainers are non-refundable once work has begun.

We may terminate the agreement if:

  • The client breaches these Terms, or

  • The client fails to pay invoices on time.

Upon termination, all licences to use our materials are revoked until full payment is made.

10. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential loss (e.g., lost profits, loss of data, or business interruption).

  • Our total liability for any claim will not exceed the total fees paid by you for the specific project in question.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

11. Warranties and Disclaimers

We will deliver services with reasonable skill and care.
However, we do not guarantee specific results such as website traffic, search rankings, or revenue increases, as these depend on external factors beyond our control.

12. Use of Website

You agree to use our website for lawful purposes only.
You must not:

  • Introduce viruses, malware, or harmful content.

  • Attempt unauthorised access to our systems.

  • Copy or reproduce content without our written permission.

We reserve the right to restrict access to our website at any time.

13. Privacy and Data Protection
